This Agreement sets forth the rights and obligations between Tutalk English and the User concerning the "Tutalk English" web page and software service (from now on referred to as the "Service"). "User" refers to the individual who registers, logs in, and uses the Service. Tutalk English may update this Agreement from time to time, and the updated terms and conditions will replace the original terms and conditions without prior notice once they are published. The User may review the latest version of the terms and conditions on the Website. After Tutalk English modified the terms of If the User does not accept the modified terms, please immediately stop using the services provided by Tutalk English; the User who continues to use the services provided by Tutalk English will be deemed to accept the modified Agreement.

(1).Account Registration

1. Users are required to register a "Tutalk English" account before using the Service. The "Tutalk English" account should be registered with a bound cell phone number. Users are requested to register a "Tutalk English" account with a cell phone number that is not yet bound to the "Tutalk English" account, and a mobile phone number that has not been blocked by Tutalk English in accordance with this Agreement. Tutalk English may change the way of registering and binding the account according to the user's demand or product needs without prior notice to the user.

2. When users register and use the service, Tutalk English needs to collect personal information that can identify the user so that Tutalk English can contact the user when necessary or provide the user with a better user experience.The information that Tutalk English collects includes, but is not limited to, the user's name, gender, age, date of birth, identity card number, Tutalk English collects information including, but not limited to, the user's name, gender, age, date of birth, ID number, address, school, company, industry, interests, hobbies, places frequented, and personal description; Tutalk English agrees that the use of this information will be subject to the constraints of the protection of the user's personal information in the third article.

(2).Service Content

The specific content of the Service is provided by Tutalk English according to the actual situation, including but not limited to authorizing users to instant messaging, adding friends, joining groups, following others, and posting messages through their accounts.Tutalk English may make changes to the services provided by Tutalk English and the content of the services provided by Tutalk English may change at any time; users will receive notification from Tutalk English on the changes of the services. (3).Third, the protection of users' personal privacy information

1. 2. 3. It is Tutalk English's policy to respect the privacy of users' personal information, and Tutalk English will take technical measures and other necessary measures to ensure the security of users' personal information and to prevent the leakage, destruction or loss of users' personal information collected in this service. In the event of any of the aforementioned circumstances or when Tutalk English finds that there is a possibility of any of the aforementioned circumstances occurring, it will take timely remedial measures.

4.Tutalk English will not disclose or reveal the user's private information to any third party without the user's consent. However, except for the following specific circumstances:

1）Tutalk English provides the user's private information in accordance with laws and regulations or the instructions of the authorized authorities; 2）the user informs others of his/her user password or shares his/her registered account and password with others, which leads to the leakage of any personal information, or the leakage of other private information not due to Tutalk English; 3）the user discloses his/her private information to a third party; 4)the user makes an agreement between Tutalk English and the partner organization on the use of the user's private information; 5)Any leakage of the user's private information due to hacker attacks, computer virus invasion and other force majeure events.

(4).Content Regulation

Users shall not use the Tutalk English account or the Service to create, upload, copy, publish, distribute or disseminate any content that interferes with the normal operation of Tutalk English or infringes on the legitimate rights and interests of other users or third parties. 1. (5).Rules of Use

1. Any content transmitted or published by users in or through the Service does not reflect or represent, and shall not be deemed to reflect or represent, the views, positions or policies of Tutalk English, for which Tutalk English assumes no responsibility.

2. Users shall not use the Tutalk English account or the Service to do the following:

1） Submitting or posting false information, or stealing other people's avatars or information, impersonating or utilizing other people's names; 2） Forcing or inducing other users to follow or click on a linked page or share information; 3） Falsifying facts or concealing the truth in order to mislead or deceive others; 4） Using technical means to establish false accounts in bulk; 5） Using the "Tutalk English" account or this service to engage in any illegal or criminal activities; 6） Creating or releasing methods or tools related to the above behaviors, or operating or disseminating such methods or tools, regardless of whether these behaviors are for commercial purposes or not; 7） Other acts that violate laws and regulations, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of Tutalk English, or are not expressly authorized by Tutalk English.

3. Users shall be solely responsible for the truthfulness, legality, harmlessness, accuracy and validity of the information transmitted by using the account of "Tutalk English" or this service, and any legal responsibility related to the information transmitted by users shall be borne by the users themselves, and has nothing to do with Tutalk English. If this causes damage to Tutalk English or a third party, the user shall be compensated in accordance with the law.

4. The services provided by Tutalk English may include advertisements, and the user agrees to display advertisements provided by Tutalk English and third-party vendors and partners during the course of use. Except as expressly provided by laws and regulations, the user shall be responsible for the transactions based on such advertisements, and Tutalk English shall not be liable for any losses or damages suffered by the user due to the transactions based on such advertisements or the contents provided by the aforementioned advertisers.

(6).Account Management

1. The ownership of the "Tutalk English" account belongs to Tutalk English. After completing the registration procedure, the user will be granted the right to use the "Tutalk English" account, which only belongs to the initial applicant, and is forbidden to be given, borrowed, rented, transferred or sold. The right to use the account belongs only to the person who applied for registration, and it is forbidden to give, borrow, rent, transfer, or sell the account, and Tutalk English has the right to take back the user's "Tutalk English" account due to operational needs.

2. Users can change or delete their personal information, registration information and transmitted content on their "Tutalk English" account, but please note that deletion of the relevant information will also delete the user's text and images stored in the system. The user assumes this risk.

3. The user is responsible for keeping the information on the registered account and the account password safe and secure, and the user is solely responsible for any theft of the account or the password that may result from the user's failure to keep it safe. The user is responsible for the behavior under the registered account and password. The user agrees not to use another user's account or password under any circumstances. In the event that the User suspects that another person is using his/her account or password, the User agrees to notify Tutalk English immediately.

4.The User shall comply with the terms of this Agreement and use the Service correctly and appropriately. If the User violates any of the terms of this Agreement, Tutalk English reserves the right, after notifying the User, to interrupt or terminate the provision of the Service to the defaulting User's "Tutalk English" account in accordance with the Agreement. Meanwhile, Tutalk English reserves the right to take back the "Tutalk English" account and user name at any time.

5. If the user does not log in for one year after registering the "Tutalk English" account, Tutalk English may withdraw the account after notifying the user, so as to avoid wasting resources, and the user shall bear the negative consequences.

(7).Data Storage

1. Tutalk English is not responsible for the deletion or failure of storage of the data in the Service.

2. Tutalk English can decide the maximum storage period of the data in the Service and allocate the maximum storage space for the data on the server according to the actual situation. Users can back up the data in the Service by themselves according to their own needs.

3. If the User stops using the Service or the Service is terminated, Tutalk English may permanently delete the User's data from the server. Tutalk English has no obligation to return any data to the User after the Service is stopped or terminated.

(8).Risk-taking

1. The User understands and agrees that "Tutalk English" only provides a platform for the User to share, transmit and obtain information, and that the User shall be responsible for all actions under his/her own registered account, including any content transmitted by the User, and any consequences arising therefrom. Users shall make their own judgment on the contents of Tutalk English and the Service and bear all risks arising from the use of the contents, including risks arising from reliance on the correctness, completeness or usefulness of the contents, Tutalk English cannot and will not be liable for any losses or damages arising from the conduct of the Users. Tutalk English cannot and will not be liable for any loss or damage caused by the User's behavior. If the User finds that anyone violates the Agreement or uses the Service in other inappropriate ways, please report or complain to Tutalk English immediately, and Tutalk English will handle the matter according to the Agreement.

2. The User understands and agrees that due to business development, Tutalk English reserves the right to unilaterally change, suspend, terminate or withdraw all or part of the Service, and the User shall bear the risk.

(9).Intellectual Property Rights

1. Except for the intellectual property rights of the advertisements in the Service, which are owned by the corresponding advertisers, the intellectual property rights of the contents provided by Tutalk English in the Service (including but not limited to webpages, texts, pictures, audios, videos, charts, etc.) are owned by Tutalk English, unless the users have already obtained the intellectual property rights of the contents posted by themselves legally prior to the use of the Service.

2. Unless otherwise specifically stated, the copyrights, patents and other intellectual property rights of the software on which Tutalk English provides the Service belong to Tutalk English.

3.Tutalk English owns the copyrights or trademarks of the graphics, characters or their composition, as well as other Pan Pan Chinese logos and product and service names (hereinafter collectively referred to as the "Tutalk English Logo") involved in the Service. Without the prior written consent of Tutalk English, the User shall not display or use the Tutalk English Marks in any manner or otherwise deal with them, nor shall the User indicate to others that the User has the right to display, use or otherwise deal with the Tutalk English Marks.

4. The above and any other intellectual property rights owned by Tutalk English or the relevant advertisers in accordance with the law are protected by law, and the User shall not use them in any form or create any derivative works thereof without the prior written permission of Tutalk English or the relevant advertisers.

(10).Legal Liability

1.If Tutalk English discovers or receives a report or complaint from another person that a user has violated this agreement, Tutalk English has the right to review and delete the relevant content, including but not limited to user information and chat records, at any time without notice, and depending on the severity of the case, impose penalties on the offending account including but not limited to warnings, account blocking, device blocking, and feature blocking, and inform the user of the results of the treatment. And notify the user of the results.

2. Users who have been banned for violating the User Agreement may contact Tutalk English customer service to inquire about the period of banning and unblock themselves after the expiration of the period of banning. Among them, users whose functions have been blocked will have their blocked functions restored automatically after the expiration of the blocking period. Users who have been banned can submit a complaint to the relevant page on Tutalk English's website, and Tutalk English will review the complaint and decide whether to change the punishment measures at its own reasonable judgment.

3.The user understands and agrees that Tutalk English has the right to impose penalties for violation of relevant laws and regulations or the provisions of this Agreement in accordance with reasonable judgment, to take appropriate legal action against any user who violates the law and regulations to save the relevant information to the relevant departments to report, etc., and the user shall bear all the legal responsibilities arising therefrom.

4.The User understands and agrees that the User shall indemnify and hold harmless Tutalk English and its partner companies and affiliates from and against any claims, demands, or damages, including reasonable attorney's fees, asserted by any third party due to the User's violation of this Agreement, resulting from or arising out of the User's violation of this Agreement.

(11).Force majeure and other exemptions

1. The User understands and recognizes that in the process of using the Service, it may encounter force majeure and other risk factors, so that the Service is interrupted. Force majeure refers to unforeseeable, insurmountable and unavoidable objective events that have a significant impact on one or both parties, including, but not limited to, natural disasters such as floods, earthquakes, plague epidemics and storms, as well as social events such as wars, turmoils, governmental actions, and so on. Tutalk English will endeavor to cooperate with the relevant units at the first time to make timely repairs in the event of any of the above situations, but Tutalk English and its cooperative units shall be exempted from liability for any damages caused to the users or the third party to the extent permitted by the law.

2. This service, like most Internet services, is subject to the influence of factors including but not limited to the user's reasons, the quality of network services, the social environment and other factors, and may be subject to various security problems, such as the use of the user's information by other people, resulting in real-life harassment; other software downloaded and installed by the user, or other websites visited by the user contain viruses, such as "Trojan horse", which threaten the user's life and the user's life. Viruses such as "Trojan Horse" in other software downloaded and installed by the user or other websites visited by the user threaten the security of the user's computer information and data, thus affecting the normal use of the Service, etc. Users should strengthen their awareness of information security and protection of user data, and pay attention to password protection to avoid losses and harassment.

3. The User understands and acknowledges that there is a risk that the Service may be interrupted or may not be able to meet the User's requirements due to force majeure, computer viruses or hacker attacks, system instability, the User's location, the User's shutdown, or any other technological, Internet, or communication line reasons, and that Tutalk English shall not be liable for any damages incurred by the User or a third party as a result of such interruption or failure to meet the User's requirements.

4. The User understands and acknowledges that Tutalk English shall not be liable for any damages incurred by the User or any third party due to misleading, deceptive, threatening, defamatory, offensive or unlawful information from any other person, or anonymous or impersonated information that infringes on the rights of another person or the behavior that accompanies such information in the course of the use of the Service.

5. The User understands and acknowledges that Tutalk English needs to overhaul or maintain the "Tutalk English" platform or related equipment on a regular or irregular basis, and that Tutalk English shall not be held liable for any interruption of the service for a reasonable period of time as a result of such circumstances. Tutalk English shall not be liable for any interruption of service for a reasonable period of time due to such circumstances, but Tutalk English shall give prior notice of such interruption.

6. Tutalk English obtains the right to deal with illegal or non-compliant content in accordance with laws and regulations and this Agreement, and this right does not constitute an obligation or commitment of Tutalk English, and Tutalk English does not guarantee that illegal or non-compliant behaviors will be detected or dealt with in a timely manner.

7. The User understands and recognizes that Tutalk English shall not be liable for any damages arising from any defects in the quality of the following products or services provided by Tutalk English to the User:

1） Services provided by Tutalk English to the User free of charge; 2） Any products or services that Tutalk English gives away to the users.

8. in no event shall tutalk english be liable for any indirect, consequential, punitive, incidental, special or exemplary damages, including lost profits, arising out of the user's use of tutalk english or the service, even if tutalk english has been advised of such damages. English will not be liable for any special, special or punitive damages, including lost profits, arising out of the User's use of Tutalk English or the Service, even if Tutalk English has been advised of the possibility of such damages.) Notwithstanding anything contained in this Agreement to the contrary, the entire liability of Tutalk English to the User, regardless of cause or course of conduct, shall not exceed the amount of fees, if any, paid by the User to Tutalk English in connection with the User's use of the Services provided by Tutalk English.

(12).Changes, interruptions and termination of services

1. In view of the special nature of network services, users agree that Tutalk English has the right to change, interrupt or terminate part or all of the services at any time.

2. Tutalk English has the right to change, interrupt or terminate the services provided to the user if any of the following circumstances occur

1） According to the law, the user should submit true information, but the user provides untrue personal information, or inconsistent with the information at registration and fails to provide reasonable proof; 2） The user violates the relevant laws and regulations or the agreement of this Agreement; 3） In accordance with the provisions of the law or the requirements of the competent authorities; 4） For security reasons or other necessary circumstances.

(13).Other

1. Tutalk English solemnly reminds the User of the provisions of this Agreement that exempt Tutalk English from liability and limit the User's rights, and asks the User to read it carefully and consider the risks independently.

2. The validity, interpretation and dispute resolution of this Agreement shall be governed by the laws of Korea. If any dispute or controversy arises between the User and Tutalk English, it shall be resolved through friendly negotiation first, and if the negotiation fails, the User agrees to submit the dispute or controversy to the jurisdiction of the court with jurisdiction in the place where Tutalk English is domiciled.

3. If any provision of this Agreement is invalid or unenforceable for any reason, the remaining provisions shall remain in force and shall be binding on both parties.
